Enquiries and notices: info@sitepin.org
This software, including the interactive map application, the administration
server, the content importer, and all accompanying source code, configuration,
documentation, design, and data structures (together, the "Software"), is the
confidential and proprietary property of the Licensor. It is LICENSED, NOT
SOLD. All rights not expressly granted below are reserved.
0. DEFINITIONS
"Licensee" means the individual or legal entity named on the order, in whose
name the licence fee was paid.
"Licensed Environment" means computing infrastructure that is owned, rented, or
otherwise directly controlled by the Licensee, that is administered by the
Licensee or by a hosting or cloud provider acting solely as the Licensee's
contractor, and that is operated exclusively for the Licensee's own benefit. A
system operated for, shared with, or accessible to any other brand, tenant,
client, agency, or affiliate is not a Licensed Environment.
"Licensed Domain" means an internet domain owned or controlled by the Licensee.
"Instance" means one installation of the Software serving one brand.
"Production Instance" means the single Instance that the Licensee makes
publicly accessible on a Licensed Domain.
1. GRANT
Subject to full payment of the licence fee and to continuing compliance with
this licence, the Licensor grants the Licensee a perpetual (subject to clause
9), worldwide, non-exclusive, non-transferable, non-sublicensable licence to:
(a) install, copy, and execute the Software ONLY within the Licensed
Environment;
(b) operate ONE Production Instance, for the Licensee's own brand only, and
only on a Licensed Domain; and
(c) keep additional non-public copies of the Software within the Licensed
Environment strictly for development, testing, staging, backup, and
disaster recovery of that one Production Instance.
No copy of the Software may be publicly accessible except the Production
Instance. Any further brand, tenant, client, agency, white-label, or affiliate
deployment requires a separate licence purchased from the Licensor.
2. THE SOFTWARE MAY NOT LEAVE THE LICENSED ENVIRONMENT
This clause is the core restriction of this licence. The Licensee shall not,
and shall not permit any third party to:
(a) install, host, execute, or make the Software available on any
infrastructure that is not a Licensed Environment;
(b) copy, upload, store, transmit, or publish the Software or any part of its
source code to any location outside the Licensed Environment, including
any public or third-party-accessible source repository, package registry,
file-sharing service, paste service, forum, messaging platform, or
customer-facing system;
(c) provide the Software, or access to it, to any person other than the
Licensee's own employees and individual contractors who need it to build
or operate the Licensee's own Production Instance, and then only under
written confidentiality obligations at least as protective as this
licence, with the Licensee remaining fully responsible for their acts and
omissions;
(d) use the Software or its source code as training, fine-tuning, evaluation,
or retrieval data for any machine-learning or artificial-intelligence
model or service; or
(e) permit any of the above to occur through inaction, misconfiguration, or a
failure to secure the Licensed Environment.
The Licensee shall take reasonable technical and organisational measures to
keep the Software within the Licensed Environment, including access control on
its repositories and deployment systems.
3. FURTHER RESTRICTIONS
The Licensee shall not, and shall not permit any third party to:
(a) redistribute, publish, sell, sublicense, rent, lease, lend, or otherwise
make the Software or its source code available to any third party,
whether for charge or free of charge;
(b) operate the Software, or any derivative of it, on behalf of or for the
benefit of any other property developer, agency, brand, or client,
including as a service bureau, managed service, multi-tenant platform, or
software-as-a-service offering;
(c) use the Software as the basis of, or as a reference implementation for, a
competing or comparable product, whether offered commercially or
otherwise;
(d) remove, obscure, or alter any copyright, licence, or attribution notice
contained in the Software; or
(e) reverse engineer, decompile, or extract the Software's content set,
configuration, or data structures for use outside the licensed Instance,
except to the extent such restriction is prohibited by applicable law.
4. OWNERSHIP AND CONFIDENTIALITY
The Licensor retains all right, title, and interest in the Software, including
all intellectual property rights. Content that the Licensee enters into the
administration panel — its own project records, imagery, and copy — remains the
property of the Licensee. Nothing in this licence transfers ownership of the
Software itself.
The Software's source code is the Licensor's confidential information. The
Licensee shall protect it with no less care than it applies to its own
confidential information, and in no event with less than reasonable care. This
obligation survives termination and continues for as long as the source code
remains non-public through no fault of the Licensee.
5. MODIFICATIONS
The Licensee may modify its own Instance for its own use. Modifications do not
create any ownership interest in the Software, and clauses 1, 2, and 3 apply to
modified and derivative versions in full.
6. THIRD-PARTY SERVICES
The Software requires third-party services, including Mapbox. The Licensee is
responsible for obtaining and paying for its own credentials for those services
and for complying with their terms. Access tokens issued to the Licensor are
not included in this licence and must not be used in the Licensee's Instance.
7. DELIVERY, SUPPORT, AND UPDATES
After cleared payment, the Licensor will deliver a source archive of the
Software. Delivery does not include third-party credentials, hosted secrets, or
content belonging to any other client.
The licence fee covers the Software as delivered. It does not include support,
maintenance, hosting, updates, or new versions, unless separately agreed in
writing. Any such services are quoted and invoiced separately.
8. VERIFICATION
On reasonable written notice, and no more than once in any twelve-month period
absent suspected breach, the Licensee shall confirm in writing where the
Software is installed and on which domains the Production Instance runs. The
Licensor will not require access to the Licensee's systems or data.
9. TERM AND TERMINATION
This licence continues until terminated. It terminates automatically and
immediately upon a breach of clause 1, 2, or 3. The Licensor may terminate for
any other material breach that is not cured within thirty (30) days of written
notice.
On termination the Licensee shall cease all use of the Software, remove every
Instance from service, and destroy all copies of the source code in its
possession, certifying that it has done so if asked. Clauses 3, 4, 10, 11, 12,
and 14 survive termination.
The Licensee acknowledges that a breach of clause 2 or clause 3 may cause harm
that money cannot adequately remedy, and that the Licensor may seek injunctive
relief in addition to any other remedy.
10. NO WARRANTY
THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT. THE LICENSOR DOES
NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY
MAP PIN, PLACE NAME, OR IMPORTED CONTENT IS ACCURATE. THE LICENSEE IS
RESPONSIBLE FOR VERIFYING WHAT IT PUBLISHES.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR
ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR
ANY LOSS OF PROFIT, REVENUE, DATA, OR GOODWILL, ARISING FROM OR IN CONNECTION
WITH THE SOFTWARE.
THE LICENSOR'S TOTAL AGGREGATE LIABILITY UNDER OR IN CONNECTION WITH THIS
LICENCE SHALL NOT EXCEED THE LICENCE FEE ACTUALLY PAID BY THE LICENSEE.
Nothing in this licence excludes liability for fraud, or for any other
liability that cannot lawfully be excluded.
12. INDEMNITY
The Licensee shall indemnify the Licensor against any claim, loss, or expense
arising from the Licensee's breach of clause 2 or clause 3, from content the
Licensee publishes through the Software, or from the Licensee's use of
third-party services in its own Instance.
13. EVALUATION ACCESS
Where access is provided for demonstration or evaluation before a licence is
executed, that access is granted for internal assessment only, for a period of
twenty-four (24) hours from the moment credentials are issued, unless a
different period is stated at the time of access. No right to deploy, copy,
retain, or sublicense the Software arises from evaluation access. Evaluation
credentials are personal, may not be shared, and expire automatically.
Hosted evaluation may display the prospective licensee's own public website
content inside the Software for assessment. That display is not a publication
on the prospective licensee's domain and is not a grant of production rights.
14. GENERAL
Assignment. The Licensee may not assign or transfer this licence, in whole or
in part, without the Licensor's prior written consent, including by merger,
acquisition, or sale of assets. The Licensor may assign this licence to a
successor of its business.
Compliance. The Licensee shall comply with all applicable laws in its use of
the Software, including export control and sanctions laws.
Governing law. This licence is governed by the laws of the United Arab
Emirates as applied in the Emirate of Sharjah. The courts of Sharjah, United
Arab Emirates have exclusive jurisdiction over any dispute arising out of or in
connection with it.
Notices. Notices to the Licensor must be sent to info@sitepin.org. Notices to
the Licensee are validly given at the email address on the order.
Entire agreement. This licence, together with the Sitepin Terms and Conditions,
is the entire agreement between the parties on its subject matter and
supersedes any prior discussion, proposal, or purchase-order term.
Severability and waiver. If any provision is held unenforceable, the rest
remains in force. A failure to enforce any provision is not a waiver of it.
Language. This licence is executed in English. Any translation is for
convenience only, and the English text prevails.
